1. ACCEPTANCE OF TERMS
These Terms of Service (“Terms”) govern your use of the Sentz mobile application, software, website, user interface, and related features (“Sentz App” or “Services”) provided by MobileCoin Inc., d/b/a Sentz Global (“Sentz,” “we,” “us,” or “our”).
By creating or importing a wallet, accessing the Sentz App, or connecting to third-party services such as Bridge, you agree to be bound by these Terms. If you do not agree, discontinue use immediately.
2. ABOUT SENTZ
- Sentz provides a non-custodial digital wallet that allows you to generate, store, and manage private keys and interact with supported blockchain networks.
- Sentz is software only. Sentz does not:
- hold or custody fiat or digital assets,
- access or store private keys or seed phrases,
- initiate, receive, or transmit funds on your behalf,
- execute or validate blockchain transactions,
- perform currency exchange or asset conversion.
- Sentz is not a bank, custodian, exchange, payment processor, money transmitter, broker-dealer, investment adviser, or financial institution.
3. NON-CUSTODIAL WALLET
When you create or import a wallet:
- You control your private keys, seed phrase, passcodes, and device security.
- Losing your private keys or seed phrase may result in permanent and unrecoverable loss of y our assets.
- Sentz cannot recover lost credentials or restore access.
- You are responsible for securing backups of your credentials offline.
- All transactions from your wallet are considered authorized by you.
4. THIRD-PARTY RAMP PROVIDERS (INCLUDING BRIDGE)
Sentz allows users to connect with independent third-party service providers (“Ramp Providers”), including Bridge, to receive fiat transfers and convert such funds into digital assets.
You acknowledge and agree:
- Ramp Providers are third parties, not controlled by Sentz.
- Your use of Ramp Providers requires acceptance of their independent Terms of Service, Privacy Policy, fees, KYC/AML policies, and compliance requirements.
- Sentz is not a party to any agreement between you and any Ramp Provider.
- Sentz does not supervise, validate, process, monitor, or guarantee:
- creation of your virtual account,
- receipt of any fiat transfers,
- custody of fiat funds,
- conversion of fiat to USDC or any asset,
- delivery of USDC or any other asset to your wallet,
- accuracy of provider information,
- provider’s regulatory compliance,
- timing, success, or settlement of conversions or transfers.
- Sentz does not have custody or control of funds held in your virtual account or any funds processed by Bridge.
5. FLOW OF FUNDS
The following flow governs the movement of funds when using Bridge with the Sentz Wallet.
Sentz provides no custodial, financial, or transaction services in these steps.
Step 1 — User Receives Funds in Their Bridge Virtual Account
You may receive funds into a virtual account provisioned by Bridge via:
- ACH transfer
- Wire transfer
- Payroll deposit
- Marketplace or client disbursements
- Payments from friends or family
You acknowledge:
- The virtual account is created and operated solely by Bridge.
- Bridge has custody and control of funds deposited into the virtual account.
- The virtual account acts only as a deposit address and provides no additional functionality.
- Sentz does not own, access, or manage this account.
Step 2 — Bridge Converts Funds to USDC
After Bridge confirms settlement of the fiat funds:
- Bridge converts fiat to USDC using its own systems, providers, and liquidity mechanisms.
You acknowledge:
- Sentz does not perform the conversion.
- Sentz does not control conversion timing, pricing, rates, or execution.
- Sentz has no control over possible failed conversions, delays, reversals, or fees.
Step 3 — Bridge Sends Funds to Customer’s Sentz EVM Wallet (USDC Transfer)
Bridge sends the resulting USDC directly to your Sentz EVM wallet.
You acknowledge:
- Sentz does not receive or intermediate the USDC.
- Sentz does not route, control, or verify the transfer.
- Sentz does not guarantee transfer success or timing.
- Any incorrect wallet address or failed transfer is your responsibility or the responsibility of Bridge.
- Sentz cannot freeze, reverse, intercept, or modify any blockchain transaction.
This is a direct blockchain transfer from Bridge to the address you provided.
Step 4 — Funds Are Converted to eUSD and Deposited into Customer’s Sentz Wallet
Once USDC reaches your wallet:
- USDC may be converted to eUSD using smart contracts or protocols integrated with your wallet.
You agree and acknowledge:
- Conversion to eUSD is performed by third-party smart contracts, not by Sentz.
- Sentz does not operate, audit, maintain, or guarantee any smart contract used for conversion.
- Sentz cannot guarantee conversion prices, slippage, execution, timing, or success.
- Conversion transactions are irreversible.
- Sentz bears no liability for losses arising from conversion mechanisms or smart contract failures.
You also acknowledge that:
- Sentz never receives or holds your fiat or digital assets.
- Sentz does not perform any part of the funding or conversion flow.
- Sentz is a software interface that reads blockchain data associated with your wallet.
- Sentz cannot and does not control any part of the fiat → USDC → eUSD lifecycle.
6. USER RESPONSIBILITIES
You are solely responsible for:
- Securing your private keys, seed phrase, passcodes, and device.
- Verifying wallet addresses and blockchain networks.
- All transactions initiated using your wallet.
- Compliance with all applicable laws.
- Paying any gas fees, network fees, or third-party provider fees.
- Understanding the volatile and irreversible nature of digital asset transactions.
7. DIGITAL ASSET & BLOCKCHAIN RISKS
You acknowledge the following risks, all of which are your responsibility:
- irreversible crypto transactions
- incorrect address transfers
- blockchain congestion, delays, or forks
- smart contract vulnerabilities
- stablecoin depegging
- loss of access due to lost private keys
- malicious activity or exploits
- gas price fluctuations
- liquidity risks
- failures or errors of Bridge or other providers
- wallet or protocol incompatibility
Sentz has no control over blockchain execution or smart contract behavior.
8. NO FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE
Sentz does not provide:
- investment advice
- financial advice
- tax reporting or preparation
- legal guidance
- fiduciary services
You must consult your own advisers.
9. PROHIBITED ACTIVITIES
You may not use the Sentz App for:
- illegal or fraudulent activity
- sanctions evasion
- money laundering or terrorist financing
- unauthorized financial services
- manipulating smart contracts or protocols
- interfering with the Sentz platform
- providing false or misleading information
- attempting to access other users’ wallets
Sentz may suspend or terminate your access for violations.
10. NO WARRANTIES
The Sentz App is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
Sentz does not guarantee:
- uninterrupted service
- error-free operation
- accurate or updated balance displays
- successful transfers or conversions
- availability of third-party providers
- security of third-party infrastructure
11. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- Sentz is not liable for any indirect, incidental, consequential, punitive, or special damages.
- Sentz is not responsible for:
- failed transfers or failed conversions
- USDC or eUSD losses
- errors or delays caused by Bridge
- lost private keys
- smart contract failures
- network outages
- mistaken addresses
- regulatory actions or freezes
- Total liability of Sentz will not exceed USD $50.
12. INDEMNIFICATION
You agree to indemnify and hold harmless Sentz from any claims, losses, damages, liabilities, or expenses arising from:
- your use of the Sentz App,
- your interactions with Bridge,
- your blockchain transactions,
- your breach of these Terms,
- your violation of law.
13. REGULATORY DISCLAIMER
You acknowledge that:
- Sentz is not a custodian, exchange, money transmitter, financial institution, or payment provider.
- Sentz does not custody or control fiat or cryptocurrency.
- Sentz does not provide regulated financial services.
- Sentz is not responsible for compliance obligations of any third-party provider.
14. FORCE MAJEURE
Sentz is not responsible for delays or failures caused by circumstances beyond its control.
15. MODIFICATIONS
Sentz may update these Terms at any time. Continued use constitutes acceptance.
16. TERMINATION
Sentz may suspend or terminate your access for any violation of these Terms, legal requirements, or security concerns.
17. DISPUTE RESOLUTION & GOVERNING LAW
- These Terms are governed by the laws of Delaware.
- All disputes must be resolved through binding arbitration on an individual basis.
- No class actions.
- You waive any right to a jury trial.
